Terms and conditions

1. Scope

These terms and conditions apply to the sale of services, hardware and licenses offered by Sinaptique to its clients. Any order implies acceptance unless otherwise agreed in writing.

2. Services

Sinaptique provides professional services in information technology, project management, integration, support and training. Delivery terms are defined in the applicable quote, purchase order or agreement.

  • Services may be billed hourly, at a fixed price or under a contractual arrangement.
  • Work performed outside normal business hours may be subject to a premium.
  • Travel and related expenses are billed in addition when applicable.

3. Hardware

Sinaptique may supply IT, networking and telecom hardware. Availability and delivery timelines are communicated for information purposes at the time of ordering.

  • Risk transfers upon delivery to the client or its carrier.
  • Hardware remains the property of Sinaptique until full payment is received.
  • Applicable warranty is the manufacturer’s warranty under its own terms.

4. Licenses

Sinaptique may resell software licenses required for the client’s operations. The client receives a limited, non-exclusive and non-transferable right of use, subject to the publisher’s terms.

5. Payment terms

  • Invoices are payable net 30 days from the issue date unless otherwise stated.
  • Late payment may result in interest, fees and/or suspension of services.
  • Accepted payment methods are specified depending on the order context.

6. Liability

Sinaptique undertakes to perform its services diligently and professionally. Its liability is limited to the value of the invoiced services or products, excluding indirect damages and subject to legal limitations.

7. Confidentiality

The parties agree to preserve the confidentiality of information exchanged in connection with services, projects, orders and agreements.

8. Termination

In the event of breach of contractual obligations or these terms, Sinaptique may terminate an order or agreement after formal notice has remained without effect, subject to applicable rights.

9. Governing law and jurisdiction

These terms are governed by the laws applicable in the province of Québec. Any dispute falls under the competent courts of the district of Montréal, Québec, unless mandatory law provides otherwise.

10. Acceptance

By confirming an order, signing a quote or initiating a service engagement, the client acknowledges having read and accepted these terms and conditions without reservation.
